TERMS AND CONDITIONS APPLICABLE TO NEDBANK'S CASH ONLINE
SERVICES

The Service enables
you to capture the amounts of cash that you wish to deposit into your Nedbank
account on the internet website ('the Website'), print electronic deposit slips
and request cash in specified dominations, 24 (twenty four) hours a day, 7 (seven)
days a week.

The Agreement will
commence on delivery of the original Agreement to us, signed by your authorised representative ('the Signature Date'). The Agreement
will continue for the duration set forth therein. Upon commencement of the Agreement
Nedbank will provide you with 1 (one) user identity and password enabling one
person ('the User') to access the Services on your behalf. Nedbank may
discontinue providing the Services at any time at our sole discretion. We will,
however, notify you of this within a reasonable time.

Nedbank will record the identity of the User. It, however, remains your
sole responsibility to ensure that the Service is used for your legitimate
business purposes only. On termination or
expiry of the Agreement Nedbank will deactivate the user identity and password,
disabling access to the Service for the User, unless a further agreement is
concluded between you and Nedbank governing the Service on a longer-term basis.

For cash deposits the
User must:
5.1
log onto the Website and capture the
value of the cash to be deposited, giving the complete information required on
the Website;
5.2
print a copy of the
deposit slip from the Website reflecting the amount of the deposit and place this,
together with the cash to be deposited, into the stop-loss bag provided by the
cash-in-transit carrier appointed by you ('your CIT Company'). You will retain a
second copy of the deposit slip for your own records. Nedbank will also send a
copy to the email address nominated by you on registration.

A unique reference
number will be allocated by Nedbank to each deposit captured on the Website.
This reference number will appear on your statement once your bank account is
credited to enable you to reconcile deposits made using the Website. In
addition, the Website allows the User to ascertain whether a deposit has been
processed.

Nedbank will credit
your bank account once the cash is counted at the cash-processing centre and
the amount reflected on the deposit slip is verified against the amount
captured on the Website. If there is a discrepancy between the cash counted and
the amount reflected on the deposit slip, Nedbank will credit your account with
the amount reflected on the deposit slip and simultaneously debit or credit
your account with the difference to ensure that the net credit to your account
equals the value of the cash counted.

Your existing
agreement(s) with your CIT Company for the collection and delivery of cash will
remain unchanged. Any discrepancies in respect of cash deposited and counted
will be dealt with in terms of existing arrangements and processes between you
and Nedbank.

The User will also be
able to make requests for cash in denominations specified by him/her in the
electronic cash withdrawal instructions available on the Website.

We do, however,
advise you, without undertaking any of your CIT Company's obligations to you,
that in order to deliver cash to you on the day following your request the
following requirements must be met prior to 10:00:
10.1
your cash request must be captured on
the Website;
10.2
a stop-loss bag
marked 'Payroll' from you containing cash equal in value to the cash request must
be handed to your CIT Company for delivery to the cash-processing centre; and
10.3
a printout of the relevant cash
withdrawal slip must be contained inside the stop-loss bag setting out the
denominations requested.

Nedbank will use
reasonable endeavours to ensure that the Service is available continuously but will
not be liable for any unavailability of the Service. You acknowledge that the
Service will not be available during times of scheduled maintenance,
unscheduled maintenance and any unforeseen reasons including, without
limitation, breakdowns and outages of third-party networks over which Nedbank
has no control.

The use of the Service by you will be solely at your risk and, to the
extent permitted by law, Nedbank will not be liable
for any loss or damage arising from or in connection with the Service or your
use of the Service.

Information
pertaining to the Service and the Agreement constitutes the confidential
information of Nedbank. You may not disclose this confidential information to
any third party and will limit disclosure to those of your staff members who
have a clear need to know. You will take such steps as are required to ensure
that your staff members to whom Nedbank's
confidential information is disclosed adhere to these confidentiality
requirements.

All intellectual
property rights in the Website are owned by Nedbank or its licensors and you will
at no time assert that you or any third party has any rights in the Website.
15
Unless otherwise
provided in the Agreement, there shall be no Service charge in addition to the cash
deposit fees applicable to your current account.
